Terms of Service

Please read these Terms of Service ("Terms") carefully before using the FlipFeeds platform operated by FlipFeeds, Inc. ("Company", "we", "us", or "our"). By accessing or using the service you agree to be bound by these Terms. If you disagree, do not use the service.

1. Acceptance of Terms

By creating an account or accessing any part of FlipFeeds you confirm that you are at least 18 years old, have the legal authority to enter into a binding agreement, and accept these Terms in full.

2. Description of Service

FlipFeeds provides a Creator OS for video podcasters — including scheduling, browser-based recording, AI post-production, distribution, and sponsor monetization tools. Features and availability may change at any time; we will notify users of material changes.

3. Accounts & Registration

You must provide accurate, current, and complete information when creating an account. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us immediately at legal@flipfeeds.com if you suspect unauthorized access.

4. Your Content — You Own It

You retain full ownership of all video recordings, audio, images, and other content you upload or create using FlipFeeds ("Your Content"). FlipFeeds does not claim ownership of Your Content.

By using the service you grant FlipFeeds a limited, non-exclusive, royalty-free license to host, store, transcode, and process Your Content solely as necessary to provide the service. This license terminates when you delete the content or close your account.

You represent that you have all rights necessary to grant this license and that Your Content does not infringe any third-party rights or violate any law.

5. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or in violation of any regulation.
• Upload content that is defamatory, obscene, fraudulent, or infringes third-party rights.
• Attempt to gain unauthorized access to any systems or networks associated with FlipFeeds.
• Reverse engineer, decompile, or otherwise attempt to extract source code.
• Use the service to send unsolicited communications (spam) or impersonate any person or entity.
• Interfere with or disrupt the integrity or performance of the service.

6. Payments & Billing

Certain features require payment of fees. Fees are charged in advance on a subscription basis. All fees are non-refundable except as required by applicable law or as explicitly stated in a separate agreement. We use Stripe to process payments; your payment information is subject to Stripe's privacy policy. Sponsor invoices processed through Stripe Connect are subject to a platform fee (1.5–3%) as disclosed at the time of invoice creation.

7. Sponsor Relationships

FlipFeeds provides tools that facilitate introductions and financial transactions between creators and sponsors. FlipFeeds is not a party to any sponsorship agreement and is not responsible for the conduct, content, or obligations of either creator or sponsor. Any agreements between creators and sponsors are solely between those parties.

8. Intellectual Property

The FlipFeeds platform, including its design, software, trademarks, and documentation (excluding Your Content), is and remains the exclusive property of FlipFeeds, Inc. Nothing in these Terms grants you a right or license to use any trademark, logo, or trade name of FlipFeeds, Inc.

9. Third-Party Services

FlipFeeds integrates with third-party services such as Stripe (payments), LiveKit (real-time video), Google Cloud (AI and storage), and social platforms (YouTube, TikTok). Your use of those integrations is subject to the respective third-party terms and privacy policies. FlipFeeds is not responsible for third-party services.

10. Privacy

Our Privacy Policy describes how we collect, use, and share information about you. By using the service you agree to our Privacy Policy.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FLIPFEEDS, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED US DOLLARS (USD $100) OR THE AMOUNTS PAID BY YOU TO FLIPFEEDS IN THE PAST TWELVE MONTHS.

13. Indemnification

You agree to indemnify, defend, and hold harmless FlipFeeds, Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the service, Your Content, or your violation of these Terms.

14. Termination

We may suspend or terminate your access to the service at any time, with or without cause or notice, including for violations of these Terms. Upon termination you remain responsible for any outstanding fees. You may delete your account at any time from the account settings page.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions. Any dispute arising from these Terms shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to participate in a class action.

16. Changes to Terms

We may update these Terms from time to time. We will provide notice of material changes by updating the "Last updated" date above and, where feasible, by emailing registered users. Your continued use of the service after the effective date of the revised Terms constitutes acceptance.
